These Terms and Conditions, including any policies or agreements referenced herein, shall be governed by, and construed in accordance with, the laws of the United States of America and the State of California, irrespective of any conflicts of law principles. By using the Vccpanda platform, you agree that any disputes, legal actions, claims, or issues arising out of or in connection with these Terms and Conditions or any related agreements will be exclusively governed by and subject to the laws of the State of California.

Furthermore, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the County of Los Angeles, California. You agree to submit to the personal jurisdiction of such courts, and waive any objections related to venue or inconvenient forum. This means that if any legal disputes arise regarding your use of the Vccpanda platform, such disputes will be handled in California courts, and California law will govern all interpretations, rights, and obligations.

If any portion of these Terms and Conditions, or any policies and agreements referenced herein, is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be replaced with a valid, enforceable provision that most closely reflects the intent of the original provision.

Additionally, you agree to resolve any disputes or legal actions arising from the use of the Vccpanda platform in a manner consistent with the terms set out in these governing law provisions, and you acknowledge that you have read, understood, and voluntarily agreed to these terms.
