This Indemnity Agreement outlines the responsibilities and liabilities of users (both freelancers and buyers) when using Vccpanda. By using the platform, you agree to indemnify and hold Vccpanda harmless under the terms outlined below.

1. Indemnification by Users

As a user of the Vccpanda platform, you agree to indemnify, defend, and hold harmless Vccpanda, its employees, agents, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Your use or misuse of the platform
• Any services provided or received through the platform
• Any breach of these Terms and Conditions, including intellectual property violations
• Any actions taken or omissions made by you that violate the rights of others
• Any disputes between you and other users, including buyers, freelancers, or third parties

2. Scope of Indemnification

The indemnification outlined in this agreement covers all legal costs, settlements, and judgments associated with the defense or resolution of claims or actions initiated by third parties. This includes, but is not limited to, claims related to:

• Intellectual Property: Any violation of third-party intellectual property rights.
• Service Performance: Any service-related issues, including failure to deliver, misrepresentation, or disputes over pricing.
• Privacy Violations: Breaches of personal data or privacy laws under the GDPR or other applicable privacy regulations.
• User Conduct: Any unlawful or harmful behavior towards other users or third parties.

3. Limitations of Indemnity

The indemnity provisions do not apply in cases of negligence, willful misconduct, or fraud on the part of Vccpanda or its affiliates. Vccpanda is not liable for indirect or consequential damages arising from the indemnification or any dispute under this agreement.

4. Third-Party Claims

In the event of a third-party claim or legal action arising from your actions or the actions of another user that involves you, you agree to cooperate fully with Vccpanda in defending such claims. Vccpanda may choose to assume the defense or settle any claim at its discretion.

5. Notification of Claims

In the event that a claim or legal action is filed against you that could trigger this indemnity provision, you must notify Vccpanda immediately and cooperate in any investigation or defense efforts. Failure to do so may result in the forfeiture of your indemnification obligations.

6. No Limitation on User Rights

This indemnity does not affect or limit any other legal remedies or rights that may be available to Vccpanda or any affected parties. It is intended solely to protect Vccpanda from claims that arise from your use of the platform.

7. Changes to the Indemnity Agreement

Vccpanda reserves the right to update or modify this Indemnity Agreement at any time. All changes will be communicated through an updated version posted on the platform. Continued use of the platform after changes indicates your acceptance of the revised terms.

8. Legal Jurisdiction

This agreement is governed by and construed in accordance with the laws of the jurisdiction in which Vccpanda is incorporated. Any legal actions related to indemnity disputes will be subject to the jurisdiction of the appropriate courts.
